By accessing or using www.escom.me (the “Site”) and our services, you agree to these terms. If you do not agree, please discontinue use of the Site.

1. Use of the Website

The Site is provided for general information and business purposes. You must not misuse the Site, attempt unauthorized access, interfere with security or performance, or introduce malware or harmful code.

2. Scope of Services

We provide IT infrastructure services, Annual Maintenance Contracts (AMC), cybersecurity, networking, AV/CCTV, cloud and productivity solutions, and related consulting. Service details, deliverables, and timelines are defined in written proposals, purchase orders, or statements of work (“SOWs”).

3. Engagements, Quotes & SOW

  • Quotes & Validity: Written quotes are typically valid for [30] days unless stated otherwise.
  • Acceptance: An engagement begins when you accept a quote/PO/SOW in writing or by paying an advance or first invoice.
  • Changes: Adjustments to scope, schedule, or assumptions may require a change order and revised fees.
  • Dependencies: Your timely access, approvals, content, and credentials are required to meet timelines.

4. Fees, Invoicing & VAT

  • Currency: Unless stated otherwise, fees are in AED.
  • VAT: UAE VAT (currently 5%) will be applied where applicable. TRN: 100526331200003
  • Payment Terms: Standard terms are [100% upfront / 50% advance / Net 15 / Net 30] as specified in the quote or invoice.
  • Late Payments: We may suspend work/services for overdue invoices and may apply late payment charges as permitted by law.
  • Expenses: Pre‑approved third‑party or travel expenses will be invoiced at cost.
  • Refunds: Services are non‑refundable once delivered or activated; any pro‑rata consideration is at our discretion.

5. Term, Renewals & Cancellation (AMC)

  • AMC Term: Unless otherwise specified, AMC terms are 12 months from the start date.
  • Renewal: AMCs may auto‑renew for successive terms unless either party gives [30] days’ written notice prior to expiry.
  • Early Cancellation: If early cancellation is requested, any prepaid amounts may be adjusted for work performed, parts consumed, and discounts availed.

6. Support, SLA & Escalation

Coverage, response targets, and escalation (e.g., remote/onsite, after‑hours, severity levels) are defined in the applicable AMC or SOW. Work outside agreed business hours may be billed at an elevated rate.

7. Access, Credentials & Admin Rights

  • You will provide necessary access, admin accounts, VPN, and approvals to deliver services safely and on time.
  • We recommend a named admin model with MFA and password rotation. You are responsible for protecting credentials you control.
  • Super‑admin actions requested by you are logged (where possible) and executed on a best‑effort basis within scope.

8. Data, Backups & Security

Important: Client data remains your responsibility unless a separate, written managed backup/DR service is contracted. We can advise on backup and archiving in line with your requirements.
  • You must maintain appropriate backups and security controls for your systems and data.
  • We implement reasonable safeguards within the agreed scope but cannot guarantee absolute security.
  • We are not liable for data loss, corruption, or recovery costs unless expressly included in a paid backup/DR service and caused solely by our gross negligence.

9. Confidentiality & NDA

  • Each party will keep the other’s confidential information secret and use it only to perform the engagement.
  • Confidentiality does not apply to information that is public, independently developed, or obtained lawfully from a third party.
  • Upon request, we can execute a separate NDA; in case of conflict, the signed NDA prevails.

10. Data Processing (DPA)

Where we process personal data on your behalf, we act as a processor and you act as the controller. A simple DPA is available on request covering processing instructions, security, sub‑processors, breach notice, and deletion/return at end of term.

11. Intellectual Property & IP Indemnity

  • All Site content, logos, and materials are our property unless otherwise noted.
  • For deliverables under an SOW, ownership/licensing terms will be specified in that SOW. Open‑source licenses, if used, apply to their respective components.
  • We will defend you against third‑party IP claims alleging that our original deliverables (excluding your materials, third‑party products, or changes you instruct) infringe IP, and pay damages awarded, provided you promptly notify us and allow us to control the defense.

12. Third‑Party Services

Some solutions rely on third‑party platforms (e.g., Microsoft 365, Google Workspace, Zoho, cloud providers). Their availability, performance, pricing, and policies are governed by those providers. We are not responsible for third‑party outages or changes.

13. Procurement, Delivery & RMA

  • Title & Risk: Title passes on delivery and full payment; risk of loss passes on delivery to your premises or carrier.
  • OEM Warranty: Hardware/software warranties are provided by the original manufacturer/distributor. We assist RMA as per OEM policies.
  • Lead Times: Delivery dates are estimates and may vary due to supplier constraints or customs.

14. Privacy & Cookies

Your use of the Site is also governed by our Privacy Policy and Cookie Policy (if published). By using the Site, you consent to processing in accordance with those policies.

15. Warranties & Liability

  • No Warranty: The Site and its information are provided “as is” and “as available,” without warranties of any kind.
  • Limitation: To the maximum extent permitted by UAE law, our total liability for claims arising out of or related to the Site or services is limited to the fees you paid to us for the specific service in the [three (3)] months preceding the event giving rise to the claim.
  • Exclusions: We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data.

16. Non‑Solicitation

During the engagement and for twelve (12) months after, neither party will solicit the other’s employees or contractors for employment without prior written consent. General public recruitment is excluded.

17. Marketing & Publicity

Unless you object in writing, we may use your name and logo in client lists and case‑study references describing the nature of services (excluding confidential details).

18. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control (e.g., natural disasters, war, government action, internet/provider outages). Obligations resume when the event ends.

19. Suspension & Termination

  • We may suspend services for overdue invoices, security concerns, or legal compliance.
  • Either party may terminate for material breach not cured within [30] days of written notice.
  • On termination, accrued fees become due; on request, we will reasonably cooperate in transition at standard rates.

20. Notices

Official notices must be sent by email to info@escom.me and are deemed received on business days when sent, or next business day if sent after hours/weekends. Physical address notices may be used if specified in an SOW.

21. Boilerplate

  • Assignment & Subcontracting: We may use vetted subcontractors; we remain responsible for performance. Assignment requires written consent, not unreasonably withheld.
  • Severability: If a term is unenforceable, the remainder stays in effect.
  • Entire Agreement: These terms plus the applicable quote/PO/SOW form the entire agreement and supersede prior discussions.
  • Order of Precedence: If there’s a conflict, a signed SOW prevails over these terms.
  • Electronic Acceptance: Digital signatures and electronic approvals are valid and binding.

22. Governing Law & Jurisdiction

These terms are governed by the laws of the United Arab Emirates. The courts of Dubai, UAE shall have exclusive jurisdiction over disputes, subject to any mandatory dispute‑resolution terms agreed in an SOW.
